What Will You Work On?

As the Company Secretary: You will

  • Ensure the Company is compliant with all statutory compliance, including scheduling and conducting board, annual general, and committee meetings; drafting minutes; preparing notices and agenda etc.; preparing and filing annual reports and accounts from a statutory and corporate governance compliance perspective, to include narrative and disclosures in the directors’ report and corporate governance report;
  • Manage corporate compliance with respect to preparing statutory registers, board reports, and similar documents;
  • Assist the audit teams (statutory & internal auditors), finance and tax teams with their ongoing work and you will serve as the initial contact person for inquiries from regulatory and statutory authorities;
  • Manage statutory records, filings and all other on-going company secretarial work for NIKE, sometimes under tight deadlines, and you will ensure seamless functioning of the Board of Directors, provide advice from time to time and aid in the appointment & resignation of Directors;
  • Keep the Board and Legal Manager informed of the latest amendments to the applicable laws and statutes; and
  • Lead the Corporate Social Responsibility initiatives for NIKE and Co-ordinate with global corporate governance teams.

As part of the Legal team: You will

  • Provide support to the legal counsel on legal/global/business projects and such other matters/assignments that the legal counsel may require from time to time;
  • Provide support to Legal Counsel on roll out of various compliance trainings that may happen from time to time;
  • Draft, negotiate and finalize operational, business and HR related agreements. Prepare and maintain contract tracker to track the renewal, expiry of all the above; and
  • Co-ordinate and escalate consumer care cases to the consumer care desk team. Co-ordinate and facilitate brand protection concerns and trademark filings.

What You Bring To Nike

  • Should be a qualified Company Secretary - Member of Institute of Company Secretaries of India along with or pursing a law degree
  • Minimum of 4-5 years post qualification experience
  • Should be able to efficiently manage time, project and workload and display strong organizational and interpersonal skills.
  • Should possess a enabling mindset while protecting NIKE’s interest and
  • Should be able to exercise judgment and discretion while advising on legal issues effectively;
  • Possess excellent verbal and written communication skills in English. Be and stay motivated, independent with quality mindset.
  • Capable in relevant Microsoft Office applications (Outlook, Excel, Word, and Power Point)

About Organisation

NIKE is seeking a qualified Company Secretary for NIKE’s 3 entities in India(collectively "NIKE"), preferably with or pursing a law degree with a minimum of 4-5 years of post qualification experience. In this role you will also be part of the Nike Legal team and support NIKE and NIKE 360 Holding B.V (Sri Lanka) in its legal work. Further, since this role’s requirement is a combination of both legal and secretarial/administrative work you will need to possess a sound knowledge and understanding of Indian corporate and contractual laws and analytical skills with high level of attention to detail while drafting/reviewing contracts and advising. Expert organizational skills are a must.
